Answer: Introduction: The more and more Australian companies are including a section of performance highlight in their annual reports. This snaps shot provides a summary of the annual performance of the companies. This is not a statutory requirement so management of the company has full discretion whether to include the performance highlight in the report and the earning figures that are to be shown in the highlight (Business Insider 2016). The management can choose the GAAP earning measures or the Non GAAP earning measures or combination of both to be shown in the performance highlight section of the report. The GAAP earning are calculated based on accounting standards and the non-GAAP earnings are not based on accounting standards (Curtis et al. 2013). The non-GAAP earning generally excludes certain earnings and transactions that are required to be included in accordance with the International Financial Reporting Standard. It has been found that inclusion of the non-GAAP financial measures helps investors to better analyse the company. This report intends to show the importance of declaring the Non GAAP earning and to study its implications. Literature Review The organisations performance, financial conditions and cash flow can be better analysed if the non-GAAP earning are disclosed. There are studies conducted that have shown that inclusion of the non proforma earning helps to reduce error in the forecasted value and is also helpful in reducing dispersion in the year (Johnson et al. 2014). The research also shows that use of non-GAAP earning cautions the investors in the fundamental analysis of the company. The companies are required to declare whether the assumptions are based on historical data or future measures. The companies are also required to declare the assumptions that are not in accordance with the Generally Accepted Accounting Principle (Malone et al. 2016). Empirical Evidence The empirical evidence to show the effectiveness of GAAP regulations is mixed. It is found by many that the Non GAAP earnings are significantly higher than the GAAP earning therefore it is believed by many that the investors are misled by those higher figures. There are others who opines that the notion that investors are misled by the Non GAAP disclosure are unjustified and doubtful. Experimental Approach The recent behavioural research has shown that the judgement of the non professional investors are influenced by the presence of Non GAAP earnings before GAAP earnings. The study conducted by the Moser in 1989 found that the assessment of whether the earning of a company will increase depends on the order of information provided. The recent research conducted by the Elliot in 2006 found that non-professional investors are influenced by the emphasis put by management on the Non GAAP earnings. This is mitigated by the presence of a quantitative reconciliation. Research Questions and Hypotheses Research Questions The problems that are relevant to the recent problems are prepared in the form of questions in this report: What are the issues of financial reporting related to present GAAP standards? What disclosures are essential that are to be made in the non GAAP financial reporting? What are the disclosure requirement in the non GAAP accounting standards that are not included in the GAAP standard? Who are the stakeholders that will benefit from the Non GAAP financial reporting? Hypotheses H-1: The existence of the GAAP and the non-GAAP in the financial report helps investors to analyse the financial statements better. H-0: The existence of the GAAP and Non GAAP disclosure will not benefit the investors in analysing the financial statements. Operational Definitions and Measurement The two companies Quantas Group and Perficient Inc are chosen from the ASX. The GAAP and Non GAAP earnings that are highlighted in their annual accounts report and are used to measure their performance (Phx.corporate-ir.net 2016). Research Methodologies: Data Collection and Analysis Sampling Techniques The primary method of collecting data is the qualitative analysis of various issues that are discussed in the contemporary accounting. The research are conducted by collecting data from different sources so that various component of the non GAAP financial reporting could be known. The primary data that are collected is based on the interview conducted of various investors. In order to decide the usefulness of the disclosure of Non GAAP earning various journals, articles, websites and the financial reports of the companies are analysed (Skadden et al. 2012). The journals are reviewed to show the importance of disclosure of Non GAAP earning. The journals of Elizabeth A. Rains bury The impact of the FMA guidelines of Non GAAP earning disclosure was studied. Further the journal of Bowen, R.M., Davis, A.K. and Matsumoto Emphasis on pro forma versus GAAP earnings in quarterly press releases: Determinants, SEC intervention, and market reactions was studied and analysed. The primary sources of collecting the informations are to extract it from the annual report of the companies (Rainsbury and Hart 2014). Method of Analysis The data analysis techniques used are based on simple and random sampling. The simple random technique is best suited for analysing the financial informations using GAAP. The sample datas are collected based on both the positive and negative response relating to the benefits of the non-GAAP disclosures. In the method of conducting the research, the first step is to identify the several issues that are present in the GAAP standard of reporting the financial information. The importances of the non-GAAP financial declarations are also identified. These analyses are conducted by collecting primary data through questionary method. The importance of the non-GAAP reportings are analysed through reviewing journals (Venter et al. 2014). Research Process The research processes that are followed to answer the questions raised in the research proposal and to support the hypothesis. The first stage in the research is to determine the GAAP requirement. The second stage is to ascertain the non-GAAP disclosure requirement so that GAAP and Non GAAP information can be compared and evaluated. Then by using sampling techniques two companies are chosen from the Australian Stock Exchange to conduct the research. The listed companies are required to follow the GAAP method of reporting so the companies that provided proforma income along with GAAP income should be selected from the stock exchange for research. The companies that are selected are then analysed based on the data obtained from the interview of non-professional investors. The reported income under the GAAP and Non GAAP requirements are also analysed in the light of the financial information need of the investor. The aim of the research process is to help answer the question raised in the report and to address the hypothesis. Expected Outcomes After the research is conducted, it is expected that all the research questions raised will be answered. It is expected that the role of the directors in proving the non-gap informations will be substantially analysed. The research will also help to answer the usefulness of the non-gap informations. The research aims to clearly answer the difference between the GAAP and Non GAAP financial requirements. It is expected that after the research is conducted the hypothesis that the investors will be benefited from the inclusion of the Non GAAP informations will be prove to be corrected. The balance was later disturbed with the joining of free Orego n and Minnesota. The increase of the gap between free and slave state illustrates the changes happening in each region. When South, with a slow population growth, adopted an agrarian plantation economy, North adopted industrialization. They had large urban areas, with large infrastructures. Standardized Tests and Informal Reading Assessments - Essay Example A standardized test is one that employs a standard method assessment. Such tests include CAT (California Achievement Test), STAR (Standardized Testing And Reporting). These tests are employed to determine if a student is fulfilling certain requirements ordained for his grade, age and intellectual level, and if he does so, he is promoted to the next grade. Some institutions use these tests along with other tools of assessment, while others simply rely on the test scores for assessing a student’s academic performance. Standardized tests are relied upon heavily for assessment purposes; yet there are many benefits as well as upsides associated with them Standardized tests are considered accountability tools for teachers and students (Meador, 2012). The syllabi taught vary from school to school, and also from teacher to teacher. So it is standardized tests that reconcile this gap and ensure that at least a particular guideline is followed regarding teaching and learning (Panday, 20 11). By comparing a child’s score with score from other subjects the tests are influential in highlighting the weaknesses and strong sides of a child; at the same time allowing for comparison of a particular subjects score, over time; allowing to infer improvement or (Popham, 1999). Since, these tests are standardized; they allow the scores of students to be compared from school to school or even at a larger scale like states; also allowing for data from social subgroups to be compared (Meador, 2012). Standardized Tests are helpful in testing and Judging a students’ Cognitive abilities and skills (Brassard & Boehm, 2008). Another important feature of standardized tests is that they are completely objective in nature; since, they are marked by computers; they grade every student on same terms and without biases (Meador, 2012). Standardized tests are also criticized by many academic highlighting many upsides in the tests and the assessment they provide. Over and over sta ndardized tests have been criticized as an inaccurate and limited means of assessing a students’ achievement and learning (Fairtest, 2007). Learning cannot be just established through a single measure, it is not uni-dimensional, and requires measurement of dimensions like creativity and ability to learn step-by-step etc. (Panday, 2011). Although standardized tests are capable of assessing a child’s cognitive abilities, yet they need t be culturally and linguistically just in order to do so, but that is not the case with standardized tests in schools, they are too demanding and are not an accurate measure, hence, requiring the use of other assessing mechanisms along with the tests to ensure proper assessment (Brassard & Boehm, 2008). Scores from these tests are considered representing a student’s educational and intellectual capacities, and thus results in their being allocated to inferior educational practices, taking away the opportunity to learn what their fel lows will be learning (Weaver, 1995). Standardized tests have also been criticized for leading the curriculum to be exam oriented; only topics covered in the exams are taught and limit the broader coverage and implications of education (Fairtest, 2007). That means that once the information system is developed using the traditional methodology, it will be hard to build a new system using it. The expansions or future changes in the information system require engineers and software developers to start a new system. This is not cost effective for business since they are always in a constant growth and keep on improving their information systems. Thus, agile methodology best suits development of a flexible information system that can be upgraded easily. Question 3                     The Structured systems analysis and design method, (SSADM) is one of the widely used methodologies in computer applications in private and public sectors since its inception in 1981. The methodology operates under three principle techniques known as logical data, flow data, and event modelling (Al-Humaidan, Rossiter, 2011, p 3).                  Logical data modelling (LDM) technique involves identification and documentation of the necessary data for business or organization information system. The information that the business wants to record on the information systems is identified and documented for inclusion in software development. Consequently, the data flow modelling (DFM) techniques involves identification, modelling and documentation of how the identified data using LDM technique will flow in the information system. It gives details on how various data will be transformed in the system. Then, event modelling (EM) technique identifies and documents the sequence of events in DFM.                     The techniques help the engineers to develop information system that meets the end users need since it allows participation of all the stakeholders. However, inadequate research may result to development of poor information systems, which may be cost to the business. The SSADM uses various tools that are important in development of information system. Data flow diagram, (DFD) highlights all the data pathways, while other tools such as data dictionary, decision trees and tables give guidelines on data classifications. The tools make operation of the information easier for the end users.                      Unified modelling language, (UML) is a language used in software engineering. It helps the developers to create a system using a standardized language that can be understood easily by both the participants and the system. The main techniques and tools used are diagram and language structures such as class, interactions and activity diagrams (Al-Humaidan, Rossiter, 2011, p 4).                      The main difference between SSADM and UML is that the former interfaces are composed of design dialogue while the latter utilises components and classes of modelled diagrams as interface (Al-Humaidan, Rossiter, 2011 p. 24-29). In addition, SSADM uses requirement catalogue as the data resources while UML uses modelled stereotype features as data sources. Question 4                     Software development approach entails identification the information system issues and making decision of how the issues should be solved and the solution remains viable. Royce waterfall approach and its analogous waterfall (Habib, 2013 n.p) Critical evaluation                      The approach helps to develop software in a top down development consisting of independent steps that are completed sequentially. The engineers are able to evaluate each step independent and develop consecutive phases based on completed ones. The methodology is fast and effective for development of small information systems. However, methodology is not suitable to develop large information system because it is slow and cumbersome. In addition, the approach is costly and a short term. According to Stoica et al, (2013, p. 68) this method requires product definition, clear understanding of requirements and technology, and expertise and the system is short lived. End users approach                     In this approach, the end user is the focus in the development of the information system. The information system is designed in such a way that it is able to meet the end-users needs. The approach may involve modification of commercial off-shelf software (COTs). Critical evaluation                     The approach does not involve formal designing of the information system. The approach does not require documentation of the project. The end user is the main controller of the information system developed from this approach. However, it is not fit for large business and lack of documentation limits future changes of the information system would be very hard. Thus, the approach is not economical especially of growing enterprises.                   When the size of the project is large, the software development approach is based on the cost or budget limitations, timeframe taken by the approach, and the flexibility of the approach. This is because, the organizations designs information systems that are economical in that they does not affect their profitability and operations. The importance in being able to effectively communicate with others is essential in our everyday lives. Although everyone participates in some process of communication, not everyone knows how to communicate well. Communication is a process involving the encoding and decoding of messages being sent and received by a source and receiver, respectively. Messages are sent through various channels, such as face-to-face interaction, electronic mail, text messages, and telephone. Depending upon the channel used to communicate a message, it may allow for the communication to be transactional or unilateral. All of this occurs within a certain context, and it may also include noise factors, such as cultural differences or physical distractions, that may disrupt the effectiveness of the message being communicated. The more knowledgeable one is of the multiple factors involved in the communication process, the better the chances of effective and efficient communication. It has been said by critics that Ella Enchanted, the movie, varies so much from the book that people should be â€Å"regarding the movie as a separate creative act. † The movie follows Ella who was given â€Å"the gift of obedience† by her fairy god mother as a child.She spends most of the movie being controlled by various characters, from her step-sisters to the king of the kingdom. The main plot point of the novel is her journey to get the spell reversed which in the end she releases herself from the spell and then helps the prince. Anne Hathaway plays Ella and Hugh Dancy plays Prince Charmont, who end up getting married. For how terrible this movie was, they did well with what they had to work with.This movie aims for  Princess Bride  self -awareness and the kind of anachronistic comedy lately popularized by the  Shrek  movies  but rooted in the British stage â€Å"panto† tradition. There were cheesy dance numbers and a couple oddly placed outbursts of song, despite the fact that this isn’t a musical. Or at least it wasn’t for most of the production. Anne and Hugh had great chemistry, which was essential because they end up getting married in the end after they fall in love after a disgustingly short amount of time. Both had what their specific role called for and a good comedic timing.Anne has the child-like purity but also the confidence and smarts of a mature young woman that was needed to play a 19-year old where Hugh had the charisma, looks and intelligence to be the believable heir to a kingdom. The actual film itself was horrendous. The use of green screens and special effects to create the setting and the creatures like giants and ogres were trivial and very primary. Elves are just J ewish guys in green tights. Giants are normal people (some of them in mini-skirts) projected up on a green screen behind the primary actors.Ogres are fat guys with blue spray paint on their heads. They tried to make this fairy tale more relatable to modern times by changing the wardrobe from actual medieval wear to tacky 70s rip offs for the ladies and cartoon-ish attire for the men. Incorporating modern technology into this movie didn’t help it any either. With a crank-powered wooden escalator to an emergency button that dropped ninjas from the roof (that resembles the likes of a fire alarm), it was tacky and confusing. Though,  Ella Enchanted  avoids a misstep common mong girl-empowerment flicks, which often feel compelled to emasculate the male lead in order to make the heroine truly heroic. This approach backfires, of course, since it’s unsatisfying for the heroine to wind up with a wimp who doesn’t deserve her; she needs a  worthy  suitor. The film satirizes the teen-idol-worship culture of its own target audience with scenes of screaming maidens swooning over dashing Prince Char, while the more sensible Ella protests injustices committed by Char’s nefarious uncle.Of course Char is intrigued by Ella’s lack of interest in him, and she in turn begins to respond to his attentions. Ella is meant to be seen as a feminist-like character that cares about equal rights and disinterested in appealing to the prince with her appearance or actions, which is pretty cool to see in a children’s film. Seeing how the book is based on Cinderella, I think it’s quite an improvement in role models. Cinderella was just obedient and cried a lot but Ella works to fix her issues determinedly.

In this regard, the law requires that the director should use their powers and manage the corporation, considering the interests of the shareholders as a whole.But it is possible that the majority shareholders may expect or even demand that the corporation should be managed in such a way that is more favorable for the majority even if it proves to be harmful for others. Generally the minority shareholders lacked the ability to have an impact on the undertakings of the corporation, still it is vital that the directors act fairly and take care that their decisions endorse the interests of the corporation as a whole and all its shareholders and not only the majority shareholders. In case the directors were unsuccessful in it, they can be held in breach of their statutory duties and similarly, they also risk being engaged in oppressive conduct. In such a case, far-reaching remedies may be available against the directors that can have a significant impact on the company. The Corporations Act has also prescribe certain duties for the directors which mention that they should not use their position improperly and act in good faith and in the best interests of the company. These duties have been prescribed by the Corporations Act and also by the common law. Usually the term minority oppression denotes the conduct falling within the purview of section 232. This section provides extensive powers to the courts to provide relief to the shareholders in case the conduct of the affairs of the company, including any actual or proposed act, can be described as being contrary to the interests of the shareholders of the company as a whole or if it is oppressive, unfairly prejudicial or discriminatory against a shareholder or shareholders. In this way, the target of section 232 is the conduct due to which the minority shareholders of the company may have to face some commercial unfairness. This section has been drafted extensively and as a result, there are no defined limits placed on what may be considered as the offending conduct. In this case, the offending conduct can be the conduct of the company, or its directors or the other shareholders. For this purpose, conduct is evaluated by the courts by applying an objective test that is based on cons idering if the conduct will be considered as unfair by any reasonable commercial bystander. However it needs to be mentioned that in this regard it is not enough if a shareholder has been prejudiced or discriminated against. There should also be an element of unfairness that extends beyond a mere disadvantage. In practice, generally a question arises when a minority shareholder is subjected to unfairness or prejudiced due to the abuse of majority power or control on the corporation. The actions taken in bad faith are more likely to be treated as oppressive by the courts. However conduct can be considered oppressive even if it was undertaken lawfully and in good faith if such conduct proves to be disadvantageous or creates the burden on the minority that would be treated as beyond fair and reasonable by any commercial bystander. Such a conduct may take place even if all the members of the company have been treated equally. Some of the examples of the conduct stated by the courts as being oppressive, unfairly prejudicial or discriminatory can be given as follows. Therefore, such conduct includes the issue of shares, mainly for weakening the voting rights of the majority; nonpayment of dividend to the shareholders or making excessive payments to the directors when such decisions cannot be justified objectively due to the circumstances of the corporation; insistently declining to call the meetings in order to avert involvement by the minority shareholders; applying the funds of the company for the benefit of certain shareholders and not all the shareholders and excluding a director who represents a shareholder, from the management of the company. In most of the cases in which minority oppression has been alleged in the courts, unlisted private corporations are involved instead of the public entities. The cause behind this situation can be that in case of a listed corporation the disgruntled shareholders c an sell their shares but on the other hand, in case of a private company, there is generally no market for the shares owned by the minority shareholders. Generally it has been seen that in case of minority oppression, one shareholder or director is kept out of the management of the company or the company conducts the capital raising or share buyback due to which the equity of the minority is diluted. Other instances include the cases where the minority shareholders are not receiving any dividend or cannot sell their shares and their capitalist dog in the company indefinitely while the company is being run for the advantage of others, like significant salaries being paid to the management. Therefore under these circumstances, litigation appears to be the only way available to the minority shareholders to extract their capital. It also needs to be mentioned at this point that generally in case of minority oppression, there is also a breach of duties by the directors of the company, particularly the range of duties that have been mentioned in section 181 to 183, Corporations Act. In this regard, these duties of the directors can be briefly described as the duty of the directors to act in the best interests of the company (section 181); not exercising their powers for achieving an advantage (section 181) and not misusing the information received by the directors for achieving a personal advantage (section 183). Therefore in view of the statutory duty of the directors to exercise their powers in good faith and in the best interests of the company, it is necessary that the directors should act in best interests of the company, or the best interests of all the shareholders of the company as a general body. But in practice of ideas possible that the shareholders may have different or competing interests and as a result, sometimes it becomes very difficult on nearly impossible for the directors to act in a particular way so that everyone in the company can be satisfied. There are many decisions taken by the board of the company that may have very little or no direct impact on the individual shareholders but there are certain steps like share buybacks, situating capital raisings or the appointment/removal of the directors, that we have a direct impact on the interests of the individual shareholders. As a result, any acts of the directors in which the interests of one set of the shareholders have been preferred as compared to the shareholders as a whole, can be considered as a breach of their duties by the directors and it may also fall within the purview of oppressive conduct as mentioned in section 232. In this regard, section 232 provides that the courts have discretion to provide a wide range of remedies in order to protect the minority shareholders from the effect of oppressive conduct. Therefore the court may order that one or more shareholders purchase the shares owned by the minority, at a price that has been determined by the court; that the minority shares are purchased by the company; the appointment of a receiver and manager; a particular act should be done by a person or that the company may be wound up. However, it has been generally seen that the shareholders want that their shares should be purchased by the company or the other shareholders or in other words, a buyout ordered by the court at a price that has been decided by the court. According to the broad principle, the courts are required to grant the remedy in such a case that is least intrusive and therefore, generally the courts tried to avoid the remedy of winding up a solvent company. But when the court has ord ered a buyback and the majority shareholders of the company are unable to pay the price that has been fixed by the court, the court may order the winding up of the company. Similarly, the director shareholders who are held to be involved in oppressive conduct and the breach of their duties risk of being ordered that they should buy the shares belonging to the minority at the price decided by the court. In the present case, James and Jenny Lee are the majority shareholders of MTL and they jointly hold 60% shares in the company. They want to have a more significant role in managing the company and also advised the directors of MTL that the business strategy of the company should be changed and more attention should be paid to the wishes of the majority shareholders. In case the directors do not follow their wishes, they also threatened to take over the management of the company. But in view of the above mentioned discussion, it is clear that the directors of MTL should manage the affairs of the company, keeping in view the interests of all the shareholders of the company and not just the majority shareholders like James and Jenny Lee. On the other hand, a minority shareholder, Martin Lu who holds 5% shares in the company is concerned that the decisions taken by the directors of MTL will drain the assets of the company. In this regard, Martin wants that an extraordinary general meetin g of the shareholders of MTL should be called for the purpose of discussing these concerns but the board of MTL is reluctant to call such a meeting. This conduct of the directors of MTL can be described as oppressive conduct and as a result, the remedies that have been provided to the minority shareholders in case of oppressive conduct may be available to Martin Lu. The shareholders of MTL also want that the business of the company should be changed to smart phones and iPods but it needs to be noted that there is a clause present in the constitution of MTL according to which, the business of the company has been restricted to the manufacture of television and DVD players. Therefore, any change in the business of the company can be introduced only after a resolution has been passed by the majority shareholders of the company. The decision taken by the directors of MTL to establish another company, Stan Mobile Pty Ltd and sell the television business of MTL to this company can also be treated as a breach of directors' duties as these duties require that the director should not take a personal advantage through the decisions taken by them.
